The particular transactions and parcels of real estate are not identified since disclosure of the property information may have a detrimental impact on the Land Bank's negotiating position with one or more third parties. 1. Miacomet Golf and Sconset Golf — Calendar Year Financial Reports ADJOURNMENT MINUTES Nantucket Land Bank Commission Regular Meeting of July 12, 2016 Land Bank Meeting Room, 22 Broad Street Nantucket, Massachusetts CALL TO ORDER: 3:00 p.m. PRESENT: Robert Gardner, Richard Glidden, Neil Paterson, Allen Reinhard, John Stackpole. STAFF PRESENT: Eric Savetsky, Executive Director; Jesse Bell, Assistant Director; Susan Campese, Administrator /Finance Manager; Marian Wilson, Assistant Administrator. Christopher Calvert, Managing Director of Club Consulting Group ( "CCG'); CCG Operations Director, Christopher Ferris; Miacomet Golf Course ("MGC') Controller, Nicole Wynne; MGC Golf Shop Manager, Joan Casey; MGC Members Committee Member, Gene Briskman, Robert Williams, Charles William and David Macauley; Inquirer and Mirror Reporter, Lindsay Pykosz were also present at call to order. A. CONVENE IN OPEN SESSION 1. GOLF BUSINESS: a. Club Consulting Group ( "CCG ") — Progress Report: Mr. Calvert reviewed the statistical results of the three surveys of the general public, the MGC staff and MGC senior management, noting areas where there was consensus. He then conducted a shared visioning exercise with the Commission. The main topics of discussion were: clubhouse improvements, lack of a stated vision/mission, need for staff housing, satisfaction with current management services /expectations and quality of the course, the difficult relationship between the Land Bank and Nantucket Golf Management ( "NGM ") including trust and communication issues, deficiencies and need of clarity in financial reporting, lack of consensus between owner and management, great staff and atmosphere. Mr. Calvert itemized the various reports he felt the Commission should be receiving every month or quarter and also suggested they designate one person as the communications liaison with management. He also said department heads usually attended owners meetings to address questions as they arise. Mr. Calvert then moved on to the facility and operational parameters. The Commission felt that improving the facility while maintaining the current atmosphere and keeping golf affordable were important, as it was a public facility first and foremost. Mr. Calvert led them in a discussion in order to define recreation under the Land Bank Act. The Commission did not feel the need to accommodate weddings and large private functions; in other words, they did not want to expand beyond the current recreational footprint. However, they were generally in favor of supporting community activities in the off season, provided it did not interfere with regular operations. As for the financials, Mr. Calvert said clearer reports with regular reviews of the rates and budgets were imperative. Commissioner Stackpole suggested special meetings so the Commission could spend more time with the focus solely on golf. The Commissioners acknowledged there were trust and relationship issues with management that were very important to resolve. The Chairman thanked Mr. Calvert and Mr. Ferris for a thoughtful and Land Bank Commission Page 2 July 12, 2016 productive discussion. Marian Wilson, Assistant Administrator entered the meeting at 4: 00 p. m. Members of the MGC Membership Committee and Ms. Casey departed at 5:03 p. m. Mr. Calvert, Mr. Ferris and Ms. Wynne departed the meeting at 5:45 p.m. Jeff Pollock, Property Management Supervisor entered the meeting at 5:45 p. m. 2. CITIZEN BUSINESS: None. 3. PROPERTY MANAGEMENT: a. Property Supervisor's Monthly Report: Mr. Pollock updated the Commission on work performed by property staff over the last few months including rebuilding the Wade beach stairs in `Sconset, planning and adding accessibility for the disabled to properties at Cisco beach, Lily Pond, McAlinden, Chase and Keane. Staff had begun to take down the fence along Madaket Road on the Abiah Folger property and started mowing the trails. Ongoing repairs to the Lily Pond boardwalk were in progress and should be completed by fall. Annual road grading has been completed, but the high traffic roads such as 40th Pole and Radio Tower may be touched up again in August. The Girl Scout camp is all set up for the year and the buildings at the Soverino property have been removed. Staff was now in full maintenance mode and are patrolling the properties seven days a week, mowing five day, and cutting back trails as needed. Ms. Bell recommended hiring landscape architect Michael Van Valkenburgh and Associates to develop the park along Easy Street. The firm specializes in waterfront parks. Upon a motion made by Commissioner Paterson, and duly seconded by Commissioner Glidden, it was unanimously VOTED to approve the hiring of Michael Van Valkenburgh and Associates. b. Sanford Farm — Holidays for Heroes Event Request (August 13 -14): Ms. Bell presented a request from Joanna Roche for a dog walking fundraiser organized by her 11 year old son to raise money to buy a service dog for a Holiday for Heroes veteran. The event would be from 8:00 to 10:00 a.m. both mornings. Upon a motion made by Commissioner Gardner and duly seconded by Commissioner Paterson, it was unanimously VOTED to approve the request subject to staff working out the logistics. c. Chase /Tennessee Avenue — Dock Repair Discussion: Mr. Savetsky showed pictures of the dock which was partially submerged in Hither Creek and explained that Mr. Pollock has been repairing it as needed, but felt it was time for a rebuild. However, the current Chapter 91 license states that if the dock is rebuilt it must be raised five feet. Mr. Savetsky alternatively suggested to either try to renegotiate the license and raise it 18 inches or eliminate the dock and just have a platform at the end of the marsh that would only require Conservation Commission approval. The consensus of the Commission was to keep the dock and have Mr. Savetsky come back with detailed options for repairs and/or permitting. Land Bank Commission July 12, 2016 Page 3 4. APPROVAL OF MINUTES: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Gardner it was unanimously VOTED to accept, approve and release the regular session minutes of June 28, 2016 as written. 5. REGULAR BUSINESS: None. 6. TRANSFER BUSINESS: 1. June 2016 Transfers — Record Nos. 37469 through 37571: The Commission reviewed transfers for the period of June 1, 2016 through June 30, 2016. a. Current "M" Exemptions and Liens: The Commission authorized the placing of liens against the following properties as a result of the purchasers claiming the "M" exemption as first -time buyers of real property. No. 37473 Veselin N. Nikolov and Elena S. Nikolova No. 37508 Sixteen Evergreen LLC No. 37510 Shawn G. Duncan No. 37525 Pratap Bhandari and Bandana Bhandari No. 37563 Emilly Brooke Rubin No. 37567 Jean - Pierre Latlippe and Kimberly Ann Latlippe 7. FINANCIAL BUSINESS: a. Monthly Transfer Statistics: Monthly transfer statistics reports comparing fiscal years 2015 and 2016 and calendar years 2015 and 2016 through June 2016 were presented. b. Warrant Authorization — Fiscal Year -End 2016: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Gardner, it was unanimously VOTED to execute the fiscal year -end June 30, 2016 warrant document in the amount of $112,584.90 to be provided to the county treasurer. c. Warrant Authorization — Cash Disbursements: Upon a motion made and duly seconded, it was unanimously VOTED to execute the July 12, 2016 warrant document in the amount of $142,442.32 to be provided to the county treasurer. d. Fiscal Year 2017 Budget: Mr. Savetsky presented the Fiscal Year 2017 Budget Comparison (showing approved vs. actual expenditures) and Fiscal Year 2017 Proposed Budget for the Commission's review. The consensus of the Commission was to review the budget and vote it at a future meeting. e. Miacomet Golf and Sconset Golf — Calendar Year Financial Statements: Bound Financial Statements for calendar years 2014 and 2015 prepared by Burke & Lamb, P. C. were distributed. EXECUTIVE SESSION: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Glidden, it was unanimously VOTED to go into executive session in order to discuss the purchase, exchange, lease or value of real property and review and approve executive session minutes. A roll call vote was taken: Reinhard -Aye; Stackpole -Aye; Glidden -Aye; Paterson - Aye, Gardner -Aye. The Chairman under Purpose 6 [G.L. c. 30A, 21(a)(6)] declared that discussion of these matters in open session may be detrimental to the Land Bank's negotiating position and that the Commission would reconvene in regular session following executive session.
