PRESENT: Paterson, Reinhard, Stackpole. ABSENT: Bartlett, Gardner. STAFF PRESENT: Eric Savetsky, Executive Director; Jesse Bell, Administrator /Fiscal Officer; Susan Campese, Assistant Administrator. A. CITIZEN BUSINESS /ANNOUNCEMENTS: None. B. EXECUTIVE SESSION: Upon a motion made and duly seconded, it was unanimously VOTED to go into executive session in order to discuss the purchase, exchange, lease or value of real property. Each member was polled individually. All members voted yes. The Chairman declared that discussion of these matters in open session may be detrimental to the Land Bank's negotiating position and that the Commission would reconvene into regular session following executive session. RETURN TO OPEN SESSION C. APPROVAL OF MINUTES: Upon a motion made and duly seconded, it was unanimously VOTED to accept, approve and release the regular session minutes of December 13, 2011 and the special meeting of January 5, 2012, as written. Jeffrey Pollock, Property Supervisor and Bruce Perry, Resource Planner /Ecologist entered the meeting at 4:21 p.m. D. TRANSFER BUSINESS: 1. December 2011 Transfers — Record Nos. 32200 through 32335: The Commission reviewed transfers for the period of December 1, 2011 through December 31, 2011. a. Current "M" Exemptions and Liens: The Commission authorized the placing of liens against the following properties as a result of the purchasers claiming the "M" exemption as first -time buyers of real property: No. 32207 Brett C. Sousa No. 32245 Piya Phatthanaphuti and Thitima Sasomsin No. 32268 Stacey J. Edzwald No. 32271 James R. Browers and Mehgan M. Additional Information Required: The Commission asked staff to request additional information on the following transfers: No. 32274 Centerboard GH, LLC No. 32318 Vincent D. Purchase Price Documentation Required — No. 32265 FABACK2 LLC: The Commission asked staff to request supplemental documentation from the purchasers to support the stated purchase price on the above - referenced transfer. 2. "M" Exemption Update: a. Five -Year Domicile and Ownership Compliance — Release of Liens: Upon a motion made and duly seconded, it was VOTED to authorize the issuance of a Release of Lien for each of the following transfers as a result of the purchasers fulfilling all of the requirements of Section 12, subsection ( -m -): No. 27597 Jessica N. Torre No. 27585 Michael P. Nee and Michele F. Couto No. 27575 John N. Sullivan and Marie T. Sullivan E. FINANCIAL BUSINESS: 1. Monthly Financial Report: The Commission accepted the November 2011 financial report including the balance sheet and income statement previously provided by electronic correspondence. 2. Monthly Transfer Statistics: Monthly transfer statistics reports comparing calendar years 2010 and 2011 and fiscal years 2011 and 2012 through December 2011 were presented. 3. Warrant Authorization — Cash Disbursements: Upon a motion made and duly seconded, it was VOTED to execute the January 10, 2012 warrant document in the amount of $136,305.06 to be provided to the county treasurer. F. REGULAR BUSINESS: 1. Remote Participation Policy: Mr. Savetsky and Ms. Bell informed the Commission that upon further research, it was discovered that remote participation in meetings of public bodies is not permitted by the state unless the practice has been adopted by vote in accordance with the requirements of the Attorney General's regulations, with that vote applying to all subsequent meetings of that public body and its committees. The Commission requested that the discussion be deferred to a future meeting where more commissioners would be present. Land Bank Commission January 10, 2012 G. PROPERTY MANAGEMENT: Page 3 1. Property Supervisor's Monthly Review: Mr. Pollock provided an overview of work performed by property management staff in December, including continued invasive species removal at Consue Springs /Gaillard property; top dressing of the Carter property where the house was recently removed; mowing of property by Maxey's Pond; trail work along Almanac Pond Road; widening the entrance to Hinsdale Park; brush cutting with Mass Audubon along Sesachacha Pond; removing hazardous dead trees at Goodwillie and the Lily Pond; and ongoing maintenance of the road that goes by the first cart path in Smooth Hummocks. Mr. Pollock noted that he had Longfin, LLC grade Hinsdale Road to the entrance of the paddle tennis courts. Further, he expected staff to be busy this spring in Madequecham with additional mitigation work required by the permit for the Industrial Park. Lastly, Mr. Pollock reported that the bi- annual inspection of Miacomet Golf's employee housing was conducted with Superintendent, Sean Oberly, and several maintenance projects were identified, including: (a) painting the exterior doors at the Bamber house; (b) painting all exterior trim on the Gardner Cottage and Studio; and (c) repairing the second floor deck at the Bamber house. 2. Illegal Dumping — Discussion: Mr. Pollock recommended the purchase of two infrared cameras that could be mounted on trees to capture illegal dumping activity on Land Bank properties. After some discussion, upon a motion made and duly seconded, it was unanimously VOTED to authorize the expenditure of up to $1,000 for the purchase of the recommended surveillance equipment. 3. Maintenance Facility /125 Somerset Road — Construction/Bidding Update: Mr. Perry reported that the Marble Barn addition was nearing completion and by all accounts being built according to approved building specifications. Mr. Perry reminded the Commission that although bids were received, the contract for the new five -bay garage had not yet been awarded, and further, if cash flow was a concern, it would be preferable to move forward with the addition/renovation on the existing maintenance shop, which would better serve the immediate needs of property management staff. Detailed plans for the shop, which were previously reviewed by the Commission, were currently in the process of being finalized by the architect for submission to the Historic District Commission (H.D.C.). Mr. Savetsky stated that the staggering of large capital projects should alleviate any cash flow issues and suggested proceeding with the five -bay garage now, commencing with the addition/renovation to the maintenance shop in the fall, and (provided the necessary permits have been obtained) completing the Petrel Landing renovation project next winter. Several commissioners voiced concerns about the structural specifications of the five -bay garage, particularly with the proposed thickness of the concrete slab. The Commission asked staff to share their concerns with the architect and see whether any of the structural design details could be altered in order to save money. 4. Blair House — Discussion: Mr. Savetsky reported on discussions with surveyor, Jeff Blackwell, regarding the subdivision plan to create a separate 5,000 square foot lot that the Land Bank was now authorized to dispose of (along with the house) as a result of recent legislation which was signed into law by Governor Patrick. Mr. Savetsky noted that the next step will be to submit the Land Bank Commission Page 4 January 10, 2012 ANR plan to the Planning Board for creation _of the lot. 5.2012 Property Management Work Plan: Mr. Savetsky presented the 2012 Property Management Work Plan which itemized and prioritized projects and goals for Land Bank properties. After a discussion, upon a motion made and duly seconded, it was unanimously VOTED to approve the work plan, as proposed. H. PERSONNEL MATTERS: 1. Assistant Property Manager — Assistant Property Manager: Mr. Savetsky presented a request from Assistant Property Manager Rob Earley to take a two -week leave of absence without pay. Upon a motion made and duly seconded, it was unanimously VOTED to approve the request without suspension of health insurance benefits and the accrual of paid time off.
