PRESENT: Bartlett, Gardner, Johnson, Reinhard, Stackpole. A. TRANSFER HEARING - No. 24247, Jivko V. Kalpazanov and Anna Kalpazanova: Pursuant to Section 14 of the Land Bank Act, the Commission held a hearing on the matter of the Notice of Assessment from the Nantucket Islands Land Bank Commission dated June 23, 2009, to Jivko V. Kalpazanov and Anna Kalpazanova. The hearing was tape recorded. Patricia A. Halsted, Esq., was present to act as representative for Jivko V. Kalpazanov and Anna Kalpazanova, who were also present. The hearing was opened by the Chairman, Commissioner Stackpole. Office Administrator Katie Hunter provided a brief summary of events leading up to the Notice of Assessment. Attorney Halsted presented an enlarged copy of the text of the "M" exemption as written on the back side of Land Bank Form A and provided an explanation regarding the purchasers' current residence and their inability to fulfill the domicile requirement of the "M" exemption. Ms. Hunter asked that the following documents be entered into the record as exhibits. The exhibits were entered without objection. Exhibit A, Transfer Documents Record No. 24247 dated April 15, 2004, including Form A and Deed conveying 47 Essex Road from Frank K. Holahan to Jivko Kalpazanov and Anna Kalpazanova for a price of $695,000 recorded at the Nantucket Registry of Deeds on April 15, 2004 as Book 883, Page 225; Exhibit B, Correspondence from the Nantucket Land Bank Commission dated May 3,2004, sent regular mail to Jivko and Anna Kalpazanov at 2 Greglen Avenue, PMB 33, Nantucket, MA 02554, re-stating the requirements of the "M" exemption; Exhibit C, Notice of Lien against Jivko Kalpazanov and Anna Kalpazanova, recorded at the Nantucket Registry of Deeds on April 27, 2006 as Book 1019, Page 25; Exhibit D, Transfer Documents Record No. 27973 dated April 27, 2007, including Form A and Deed conveying 27 Appleton Road from David J. Ryan, III to Jivko V. There being no further information or evidence to be provided, upon a motion made and duly seconded, it was VOTED to close the hearing. Attorney Halsted and the Kalpazanovs departed the meeting at this time. B. FINANCIAL BUSINESS 1. Fiscal Year 2009 Draft Financial Statements Presentation: Land Bank auditor Kevin Carnes from O'Connor and Drew, P.C., was in attendance to present and review the draft audited financial statements for the Fiscal Year ending June 30, 2009 and to provide record keeping and budgeting recommendations going forward. C. EXECUTIVE SESSION: Upon a motion made and duly seconded, it was VOTED to go into executive session. Each member was polled individually. All members voted yes. The Chairman noted that the Commission would reconvene into regular session and that the purpose of going into executive session was to discuss matters related to land acquisition and approval of the minutes. RETURN TO OPEN SESSION D. APPROV AL OF MINUTES: Upon a motion made and duly seconded, it was VOTED to accept, approve and release the regular session minutes of August 11,2009, as written. E. CITIZENS BUSINESS/ANNOUNCEMENTS: The Commission was informed that a $1,000 donation has been awarded to the Nantucket Land Bank from the Marie C. and Joseph C. Wilson Foundation at the request of one of its board members, Chris Kling. F. PROPERTY MANAGEMENT: 1. Fair Street Park - Use Request: The Director presented a request from Janet Schulte, Executive Director of the Maria Mitchell Association, seeking use of the Land Bank's Fair Street Park on October 2, 2009 at 5:00 pm for thirty minutes as part of a gathering to recognize the work of William and Maria Mitchell and the creation of the Meridian Stones on Main Street. Upon a motion made and duly seconded, it was VOTED to approve the request as presented. 2. Latici Property - Use Request: The Commission revisited its discussion regarding the request from Bruno Latici for an additional extension of his lease of the property and considered potential issues that might arise from its vote to approve Mr. Latici's request. Five-Year Domicile and Ownership Compliance - Releases of Liens: Upon a motion made and duly seconded, it was VOTED to authorize the issuance of Releases of Liens for the following transfers as a result of the purchasers fulfilling all of the requirements of Section 12, subsection (-m-): No. 24655 Barry J. Mailloux and Tracy A. Mailloux No. 24662 Erik C. Evens and Carol B. Evens No. 24663 Anthony J. DiSavino No. 24683 Sherry L. Rowsey 2. Transfer Update: a. Additional Information Provided: Based upon the submission of a satisfactorily completed Form B, the Commission found the following transfers to be in order: No. 29970 Donald Freedman and Jere C. Freedman No. 30008 Joseph P. Baird and Kathleen Anne Baird b. Purchase Price Explanation Provided: Based upon the submission of the requested documentation supporting the stated purchase price under Part C of Land Bank Form A, the Commission found the following transfers to be in order: No. 29909 Mary Beth Wise No. 29941 2-4 Lily Street, LLC No. 30021 Scott C. Milligan and Jasmine Milligan c. Litigation Update - No. 26977 Bruce A. Issadore and John Englert: The Commission received an update on the status of the litigation activities related to the above referenced transfer by electronic correspondence from Ms. Hunter in advance of the meeting, reviewed estimates for an appraisal of the property at the time of the transfer, and based on a recommendation from Land Bank counsel, upon a motion made and duly seconded, it was VOTED to hire Denby Real Estate, Inc. to provide appraisal services in connection with the transfer. H. FINANCIAL BUSINESS (continued): 1. Monthly Financial Report: The Commission accepted the July 2009 financial report including the balance sheet and income statement. 2. Warrant Authorization - Cash Disbursements: Upon a motion made and duly seconded, it was VOTED to execute the August 25,2009 warrant document in the amount of$36,537.51 to be provided to the county treasurer. RETURN TO OPEN SESSION J. PROPERTY MANAGEMENT (continued): 1. Miacomet Golf Course: a. Financial Report: Alan Costa was in attendance to present the July 2009 balance sheet and profit and loss comparison. b. Operations Update: Mr. Costa provided an update on matters related to restaurant operations, member activities and events scheduling and discussed concepts for capital improvements and long-term planning. 2. Ray Boathouse Discussion: Commissioner Stackpole inquired about the status of the Ray Boathouse renovation and stated that he felt it could be an appropriate project for Community Preservation Committee funding and staff reported that the plans for the boathouse were awaiting review by the Marine Department.
