PRESENT: Gardner, Johnson, Reinhard, Stackpole. ABSENT: Bartlett. Minutes of the regular meeting held December 11,2007: Upon a motion made and duly seconded, it was VOTED to accept, approve and release the minutes of December 11, 2007, as written. A. CITIZEN BUSINESSI ANNOUNCEMENTS: None. B. PROPERTY MANAGEMENT: 1. Miacomet Golf Course: a. Operations Update: Charlie Passios provided an update on 2008 operations planning. b. Golf Course Renovations Update: Mr. Passios provided an update on the 9-hole renovation project and reported that NMP Golf Construction will resume activity in the coming week. c. Golf Shop Relocation Update: Mr. Passios provided a progress report of the relocation of the golf shop to the new administration building and Commissioner Johnson presented questions regarding the schematics previously voted by the Commission. d. 2008 Miacomet Golf Course Budget Review and Discussion: Charlie Passios presented the draft 2008 revised budget for the Commission's review, previously provided by electronic correspondence and regular mail. Mr. Passios presented detailed explanations for the amounts budgeted for operational income and expenses, specifically membership revenue which reflects a proposed increase in greens fees and golf car fees, and highlighted corrections made since the last draft budget was presented. The Commission considered these increases and determined to continue a further review and discussion at its January 22,2008, meeting. e. Driving Range Renovation Discussion: Mr. Passios presented a proposal for the renovation of the driving range including concept designs, estimated costs and potential permitting needs. Upon a motion made and duly seconded, it was VOTED to investigate permitting options for the renovation of the driving range. f. Bamber Garage Apartment - Rental Discussion: The Director provided an update of the status of the Bamber garage apartment and the Commission considered current comparable rents. Upon a motion made and duly seconded, it was VOTED to lease the Bamber garage apartment to Miacomet Golf Club Restaurant Chef, Steve Dagostino for $800 rent per month plus $200 electric utility per month. Bamber House - Rental Discussion: Mr. Passios presented a proposal for the placement of certain Miacomet Golf Course employees in the Bamber house for year-round and seasonal periods. Upon a motion made and duly seconded, it was VOTED to accept Mr. Passios' rental proposal and authorize the Director to work with Mr. Passios to determine an appropriate rental amount. C: TRANSFER BUSINESS: 1. Transfer Hearing Postponement Request - No. 28483 The Nantucket Dreamland Foundation: Based upon a request for a postponement of the hearing from the purchaser's representative, upon a motion made and duly seconded, it was VOTED to postpone the hearing to January 22, 2008. 2. Litigation Update - No. 26977 Bruce A. Issadore and John J. Englert, No. 26947 Bruce H. Poor: Ms. K. Hunter provided an update of recent litigation activities on the matter and reported that the motion to consolidate the two complaints was approved by the court. 3. Transfer Record Nos. 28668 through 28754: The Commission reviewed transfers for the period of December 1, 2007, through December 31, 2007. a. Current "M" Exemptions and Liens: The Commission authorized placing liens against the following as a result of the purchasers claiming the "M" exemption as first time buyers of real property: No. 28688 Femella Phillips No. 28690 Brian T. and Yin Fitzgibbon No. 28694 Catherine Ancero No. 28732 Caren Anne Oberg and Emerson Muniz Gomes No. 28734 Antonia B. Boneva 4. Transfer Update: a. Notice of Assessment - No. 28445 Murat Aslansan and Kaan Aslansan: The Commission reviewed electronic correspondence from Murat Aslansan requesting a waiver of the accrued interest and penalty on the unpaid Land Bank fee since the time of the transfer. Based on the purchasers' failure to provide timely payment and knowledge of the Land Bank fee's applicability at the time of the transfer, the Commission determined to deny the request. b. Transfer Review - No. 28738 Stephanie Andrew Coffin, No. 28739 Mitchell Coffin and Eleanor Coffin, Trustee ofthe Coffin Family Realty Trust: Ms. K. Hunter summarized the two transactions that involved the exchange of property between the two purchasers upon which both claimed the "c" exemption. After a discussion, the Commission determined that pursuant to Section 2.03 (10) the two transfers constitute an exchange or so called "swap" ofreal property interests and are subject to the Land Bank fee as if sold separately. Upon a motion made and duly seconded, it was VOTED that there has been a failure to discharge a Land Bank fee due on Record No. 28738 and Record No. 28739 and to notify the purchasers by requesting a timely payment of2% of the fair market values of the real property interests transferred Land Bank Commission January 8, 2008 Page 3' 5. "M" Exemption Update: a. Notice of Assessment Update - No. 26067 Donna Wyland: Upon a motion made and duly seconded, it was VOTED to execute and authorize the placement ofa Notice of Lien against the property based on the purchaser's failure to request a hearing within thirty days after the mailing of the Notice of Assessment. b. Release of Lien Adjustment Previously Paid - No. 22191 Kenneth A. and Marilyn D. Fahrman: Upon a motion made and duly seconded, it was VOTED to authorize the issuance of a Release of Lien on the above referenced transfer for the original Notice of Lien placed against the property at the time of the claim of the "M" exemption based upon prior receipt of payment of the outstanding Land Bank fee, accrued interest and negligent penalty. c. Five Year Domicile Noncompliance Discussion - No. 22592 Karen and Ronny Arias: Ms. K. Hunter presented a written request from Ronny Arias seeking approval to transfer his 2002 claim to the "M" first-time buyer's exemption from their Miacomet Avenue property to his Reacher Lane property purchased in 2005. The Commission approved the request subject to the exemption requirements pursuant to Section 12 (-m-) of the Land Bank Act applying to the Reacher Lane property from its date of purchase. D. FINANCIAL BUSINESS: 1. Monthly Transfer Statistics: Monthly transfer statistics reports comparing calendar years 2006 and 2007 and fiscal years 2007 and 2008 through December 2007 were presented. 2. Monthly Financial Report: The Commission accepted financial statements including the income statement and balance sheet for the period ending November 30,2007. 3. Warrant Authorization - Ratify and Confirm Previously Authorized Warrant: Upon a motion made and duly seconded, it was VOTED to ratify and confirm the previously executed December 27,2007, warrant document in the amount of$49,457.52. 4. Warrant Authorization - Cash Disbursements: Upon a motion made and duly seconded, it was VOTED to approve and execute the January 8, 2008, warrant document in the amount of $199,154.43 to be provided to the county treasurer. 5. Warrant Authorization Discussion: Commissioner Gardner suggested amending the procedure for the warrant authorizations which would authorize the Director to approve individual expenditures while the Commission continues to review the check warrant summary and execute the cash disbursement warrant. Upon a motion made and duly seconded, it was VOTED to amend the procedure for the warrant authorizations as suggested. Land Bank Commission January 8, 2008 Page 4 E. REGULAR BUSINESS: 1. Public Notice Review: The Director reviewed notices received since the last review. No action was taken. 2. Sylvia Property - Hussey Farm Association Dues Notice: The Director presented a $200.00 dues notice from the Hussey Farm Association for maintenance of the neighborhood within which the Land Bank's Sylvia property is located. Upon a motion made and duly seconded, it was VOTED to authorize the payment of $200.00 as presented. F. FINANCIAL BUSINESS: 1. Warrant Authorization - Holdgate Note #30 Final Payment: Upon a motion made and duly seconded, it was VOTED to approve and execute the January 8, 2008, warrant document in the amount of $5,377,776.43 authorizing final payment ofthe outstanding principal and interest due on Holdgate Note #30 as of January 15,2008. G. REGULAR BUSINESS: 1. Office EquipmentlComputer Purchase Request: Property PlannerlStewardship Coordinator Bruce Perry provided the following cost comparisons to support a request for the purchase of a replacement desktop computer and a software upgrade: Hewlett Packard 4600 Dell T5400 Dell Precision T7400 Apple Mac Pro $3,503.00 $3,768.46 $3,597.89 $4,044.00 After a discussion, upon a motion made and duly seconded, it was VOTED to approve the purchase of a replacement desktop computer and software upgrade not to exceed $5,000. H. PROPERTY MANAGEMENT: 1. 2007 Season Review: Property Supervisor Jeffrey Pollock reviewed 2007 property management activities and accomplishments. The Commission praised property management staff for a job well done. 2.2008 Draft Work Plan Review: Mr. Pollock presented the 2008 Property Management Task List which itemized and prioritized projects and goals for Land Bank properties. After a discussion, upon a motion made and duly seconded, it was VOTED to approve the task list as presented. 3. Farrell Property - House Relocation Discussion: The Director provided a history of the house relocation by the Farrell family to their adjacent property and reminded the Commission of their previous determination to contribute towards the cost of the move. Upon a motion made and duly seconded, it was VOTED to offer $6,000 to the Farrell's for the house relocation costs. Land Bank Commission January 8, 2008 Page 5 4. Wolfe Property - House Removal: Mr. Perry provided an update on the status of the Wolfe house removal project and the Commission considered property improvement concepts. 5. Lily Pond Property - Blair House Relocation: The Commission considered the following cost estimates for the Blair House relocation including site excavation, steel framing, and site restoration: Toscana Corp. Atlantic AEolus Corp. $62,548.50 $76,802.50 Based on Atlantic AEolus's complete responsiveness to the request for proposals and willingness to provide foundation alternatives and carpentry services for repairs, upon a motion made and duly seconded, it was VOTED to select Atlantic AEolus Corp. for the project. I. EXECUTIVE SESSION: Upon a motion made and duly seconded, it was VOTED to go into Executive Session. Each member was polled individually. All members voted yes. The Chairman noted that the Commission would reconvene into regular session and that the purpose of going into executive session was to discuss matters related to land acquisition.
