B. EXECUTIVE SESSION: The Executive Session is for Purpose 6[G.L. c. 30A, 21(a)(6)]. The
particular transactions and parcels of real estate are not identified since disclosure of the
property information may have a detrimental impact on the Land Bank's negotiating position
with one or more third parties; and for Purpose 3 [G.L. c. 30A, 21(a)(3)], discussions
concerning strategy with respect to ongoing litigation. The Commission will not reconvene in
open session at the conclusion of executive session.

Miacomet Golf Course ("MGC") and Sconset Golf Course ("SGC) General Manager, Sean
Oberly;NGM, Inc. President, Matthew Galvin; Farmers, Dylan Wallace'and Aiden and Natasha
Feeney were also present at call to order.
I. CONVENE IN OPEN SESSION:
A. PUBLIC COMMENT/STAFF ANNOUNCEMENTS: Ms. Bell reminded the
Commission that a special site visit meeting was planned for December 12, 2022, at 1:00 p.m.
( B. GOLF BUSINESS:
1. Sconset Golf Course ("SGC")—Manager's Monthly Review: The Commission
reviewed the balance sheet and profit and loss comparisons for October 2022. Mr. Oberly noted that
SGC closed for the season after Indigenous Peoples Day,however he considered extending the
closing for an additional week or two in 2023 in order to accommodate golfers while MGC-was
being aerated. Overall, he said SGC has surpassed their expectations.
2. Miacomet Golf Course ("MGC")—Manager's Monthly Review: The Commission
reviewed the balance sheet and profit and loss comparison for October 2022. Mr. Galvin pointed out
that due to poor weather fewer rounds were played than last October, however it was the first time
that the course made a profit in the months of September and October. Mr. Galvin pointed out that
the Food and Beverage department continued to go over budget due to lack of staff and resulting
overtime costs. He said he expected that personnel brought in through the H2B visa program in
2023 would correct that problem. In addition,he was pricing out health insurance plans to bring
expenses down as well as change the employee contribution to 20% of the premium verse the 10%
they pay currently.
3. 2023 Membership and Fee Rates—Recommendations: Mr. Galvin stated that he
completed a competitive analysis and the results showed that the rates were well within market
pricing but should be increased to offset rising expenses and anticipated capital repairs and
improvements. He recommended the following rates (with increases in bold):

Upon a motion made by Commissioner Donato and duly seconded by Commissioner Reinhard,it was
VOTED to approve the 2023 rates as presented. Commissioner Stackpole recused himself from the
vote.
Rachael Freeman, Director of Environmental and Agricultural Resources, entered the meeting at

4. Sconset Golf Course 2023 Draft Budget—Review and Discussion: Mr. Galvin
said he felt the ability to share resources with Miacomet was key to making the course so
successful. Mr. Oberly presented a draft budget for SGC and reviewed some of the mote significant
increases in the budget. A motion was made by Commissioner Jelleme and duly seconded by
Commissioner Reinhard, it was VOTED to approve the budget as presented. Commissioner
Stackpole recused himself from the vote.
C. AGRICULTURAL PROPERTY MANAGEMENT:
1. 19 Wauwinet Road/Eat Fire Spring—Agricultural RFR Approval: Ms. Freeman
reported that she had incorporated the changes discussed at the last meeting into the RFR and
presented a new aerial of the property designating the potential public access areas and agricultural
fields. She said other than adding insurance information and minor changes the RFR was ready.
Further, she reported that Ms. Bell appointed the following people to the evaluation committee:
Jesse Bell,Kristina Jelleme, Jordan McHugh,Matt Haffenreffer and Ray Owen. Upon a motion
made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was
unanimously VOTED to approve the RFR subject to minor changes approved by staff
Mr. Wallace and Mr. and Mrs. Feeney departed the meeting at 4:35 p.m.
D. GOLF BUSINESS: continued.
1. Miacomet Golf Course ("MGC")Proposed 2023 Budget—Discussion: Mr. Oberly
presented the proposed budget and said,the biggest changes from the prior year were in the food and
beverage department as they planned on being open seven days a week for lunch and five for dinner
service. Further,Mr. Oberly reported he has been working with a consultant regarding the restaurant
and he was learning a lot and expected to tighten up systems, increase efficiency and provide more
training for the front of the house. Chairman Paterson asked about the golf simulators. Mr. Galvin
said after work was complete for the sound proofing, they would start marketing them, as they were
underutilized, and he thought non-golfers may be interested. Further, he said.they could be moved
outside and used for lessons. Upon a motion made by Commissioner Donato and duly seconded by
Commissioner Reinhard, it was VOTED to approve the budget as presented.
Mr. Galvin said in addition to the budget he was working on a new policy for the membership
waiting list. He said the list had 520 names on it and he felt that many names would fall off if there
were some sort of financial obligation to staying on the list. He recommended that in order to
continue on the list there should be a requirement to buy a gift certificate to be used within a year at
MGC. His thinking was that it should be no greater than$500 but he had not come to a final.
1 conclusion on the amount. Upon a motion made by Commissioner Donato and duly seconded by
Commissioner Jelleme, it was unanimously VOTED to approve the new policy leaving the amount
- of the gift certificate up to the discretion of golf management.

E. COMMISSIONERS ADDITIONAL QUESTIONS AND CONCERNS:None.
Mr. Galvin and Mr. Oberly departed the meeting at 5:07 p.m.
II. EXECUTIVE SESSION: A motion was made by Commissioner Stackpole and duly seconded by
Commissioner Reinhard to go into executive session in order to discuss the purchase, exchange,
lease or value of real property and review and approve executive session minutes. A roll call vote
was taken on the motion: Allen Reinhard-Aye;Neil Paterson-Aye; John Stackpole-Aye; Kristina
Jelleme-Aye;Mark Donato. The Chaitinan declared it was appropriate to go into Executive Session
under Purpose 6 [G.L. c. 30A, 21(a)(6)] for matters regarding real estate acquisition where
discussion in open session may be detrimental to the Land Bank's negotiating position; and under
Purpose 3 [G.L. c. 3OA, 21(a)(3)] for discussions concerning strategy with respect to ongoing
litigation.The Chairman further announced that the Commission would not reconvene in regular
session at the conclusion of executive session:
ADJOURNMENT: Upon a motion made by Commissioner Reinhard and duly seconded by
Commissioner Stackpole, it was VOTED to adjourn at 5:40 p.m.
