Warrant Authorization —Note #35 Ackeasy, LLC B. EXECUTIVE SESSION: The Executive Session is for Purpose 6 G.L. c. 30A, 21(a)(6)J. The particular transactions and parcels of real estate are not identified since disclosure of the property information may have a detrimental impact on the Land Bank's negotiating position with one or more third parties. The Commission will not reconvene in open session at the conclusion of executive session. 1. Approval of Executive Session Minutes 2. Real Estate Acquisition ADJOURNMENT MINUTES Nantucket Land Bank Commission Regular Meeting of July 9, 2019 Land Bank Conference Room, 22 Broad Street Nantucket, Massachusetts CALL TO ORDER: 4:00 p.m. PRESENT: Richard Glidden, Kristina Jelleme, Neil Paterson, Allen Reinhard, John Stackpole. STAFF PRESENT: Eric Savetsky, Executive Director; Jesse Bell, Assistant Director; Susan Campese, Administrator/Finance Manager; Marian Wilson, Assistant Administrator; Leedara Zola, Project Manager. Inquirer and Mirror Reporter, Brian Bushard and Nantucket Pond Coalition, Robert [Williams. were also present at call to order. I. CONVENE IN OPEN SESSION: A. CITIZEN BUSINESS/ANNOUNCEMENTS: None. B. GOLF BUSINESS: 1. Miacomet Golf Clubhouse Replacement — Project Update: Mr. Savetsky presented an update on the progress from the Owners Project Manager. The interior framing, the exterior windows and roofing work were completed. The drywall, insulation and several interior system installations were underway. The overall project had fallen behind three weeks, however, there xyere opportunities to make up the time. There were no changes to the budget. 2. Warrant Authorization — Clubhouse Requisition: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was unanimously VOTED to execute the July 9, 2019, warrant document in the amount of S1,063.732.65 to be provided to the county treasurer. C. PROPERTY MANAGEMENT: 1. Pond Coalition — Update: Mr. Williams recounted the accomplishments of the collaborative efforts of the Pond Coalition, Land Bank and others on Nantucket ponds. He reported that the Pond Coalition partnered with the Town of Nantucket to update and modernize pond permits for Hummock, Miacomet and Sesachacha Ponds. He summarized upcoming projects such as the reseeding of Long Pond where Phragmites mitigation has occurred and noted that they intend to spend an additional three years eliminating Phragmites in Hummock and Miacomet Ponds. Mr. Williams spoke of impending work this fall to eliminate Phragmites on portions of Long Pond. the Gardner property along with their anticipated costs. Mr. Savetsky relayed Ms. Freeman's support and concerns regarding the projects. Discussion ensued as to the benefits of opening and draining Land Bank Commission Page 2 July 9, 2019 Hummock and Miacomet ponds for flood control. Mr. Savetsky stated that after the illegal opening of Miacomet pond last year, additional openings would require extensive permitting including permitting to fix the lagoon that the illegal opening had created. Upon a motion made by Commissioner Glidden and duly seconded by Commissioner Jelleme, it was unanimously VOTED to authorize $30,000 from the previously pledged funds towards the upcoming work at Hummock and Miacomet ponds. The Commission thanked Mr. Williams for his efforts aimed at improving the condition of the ponds. Mr. Williams departed the meeting at 4:28 p.m. 2. 159 Hummock Pond Road/Gardner Cottage — Demolition Contract Award: Ms. Bell informed the Commission that four bids were received from A & S Corporation, Barrett Enterprises LLC, Strang LLC and Toscana Corporation for the demolition of the Gardner cottage. Upon a motion made by Commissioner Glidden and duly seconded by Commissioner Reinhard; it was VOTED to accept the lowest bid for $24,558.23 from Toscana Corporation and to authorize Mr. Savetsky to execute the contract. Commissioner Jelleme recused herselffrom the vote. 3. Dog Park Design — Advisory Group Recommendation: Ms. Zola provided a brief summary of the last dog park meeting on June 13, 2019. The group discussed the timing of the project as well as dog park design ideas; everyone agreed that the design work required engineering expertise. Accordingly, proposals were solicited and received for the dog park design work and four companies were granted interviews. After completing reference checks for the top two choices, Berkshire Design Group was selected based on their design presentation and experience with multiple municipal projects. Upon a motion made by Commissioner Glidden and duly seconded by Commissioner Reinhard, it was unanimously VOTED to authorize Mr. Savetsky to execute a contract and approve a design budget of up to $20,000.00 for the Berkshire Design Group to draft up conceptual plans for the dog park. Ms. Zola departed the meeting at 4:37 p.m. 4. Equipment Purchase Request — UTV Replacement: Mr. Savetsky presented a request from Property Manager, Robert Earley for a new John Deere utility terrain vehicle ("UTV") to replace the Polaris UTV which had proven unreliable for beach patrolling. Upon a motion made by Commissioner Reinhard and duly seconded by Commissioner Glidden, it was unanimously VOTED to purchase the John Deere XUV825M (MY 19) for the state contract price of $12,986.00. 5. Property Use Request Policy — Discussion: Ms. Bell informed the Commission that all catered beach events required the temporary installation of at least one Port -a -Potty for the duration of event per the Town of Nantucket Health Department. Upon a motion made by Commissioner Glidden and duly seconded by Commissioner Jelleme, it was unanimously VOTED to approve the use of temporary portable toilets on Land Bank properties for permitted events provided they are dropped off and picked up in a timely manner. D. APPROVAL OF MINUTES: Upon a motion made by Commissioner Glidden and duly seconded by Commissioner Jelleme, it was unanimously VOTED to accept, approve and release the Land Bank Commission Page 3 July 9, 2019 regular session minutes of June 25, 2019 as written. E. TRANSFER BUSINESS: 1. June 2019 Transfers — Record Nos. 40736 through 40806: The Commission reviewed transfers for the period of June 1, 2019 through June 30, 2019. a. Current "M" Exemptions and Liens: The Commission authorized the placing of liens against the following properties as a result of the purchasers claiming the "M" exemption as first- time buyers of real property: No. 40756 Jeffeory D. Fox and Jennifer N. Fox No. 40801 Lyubomir Lyubenov No. 40804 Borislav A. Iliev and Iliana A. Ilieva 2. "M" Exemption Update: a. "M" Exemption — Amendment of Lien: No. 40680 Holly Estrow F. FINANCIAL BUSINESS: 1. Monthly Transfer Statistics: Monthly transfer statistics reports comparing fiscal years 2018 and 2019 and calendar years 2018 and 2019 through June 2019 were presented to the Commission. 2. Warrant Authorization — Fiscal Year -End 2019: Upon a motion made by Commissioner Glidden and duly seconded by Commissioner Jelleme, it was unanimously VOTED to execute the fiscal year-end June 30, 2019 warrant document in the amount of 5381,816.28 to be provided to the county treasurer. 3. Warrant Authorization — Cash Disbursements: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Glidden, it was VOTED to execute the July 9, 2019 warrant document in the amount of $62,906.37 to be provided to the county treasurer. 4. Warrant Authorization — Note #35 Ackeasy. LLC: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was unanimously VOTED to authorize the transfer of funds for payment of the principal due on Land Bank Note No. 35 held by Ackeasy, LLC in the total amount of $1,000,000.00. Mr. Bushard departed the meeting at 4:50 p. m. II. EXECUTIVE SESSION: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was unanimously VOTED to go into executive session in order to Land Bank Commission July 9, 2019 Page 4 discuss the purchase, exchange, lease or value of real property. A roll call vote was taken: Reinhard - Aye, Paterson -Aye, Stackpole-Aye, Jelleme-Aye, Glidden -Aye. The Chairman under Purpose 6 [G.L. c. 30A, 21(a)(6)] declared that discussion -these matters in open session may be detrimental to the Land Bank's negotiating position and W& the Commission would not reconvene in regular session following executive session. ADJOURNMENT: Upon a motio�ri made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was VQTED to adjourn to executive session at 4:50 p.m. i Attested to: Richard J.
