EXECUTIVE SESSION: The Executive Session is for Purpose 6 [G. L. c. 30A, 21(a)(6)J. The particular transactions and parcels of real estate are not identified since disclosure of the property information may have a detrimental impact on the Land Bank's negotiating position with one or more third parties. The Commission will not reconvene in open session at the conclusion of executive session. 1. Approval of Executive Session Minutes 2. Real Estate Acquisition ADJOURNMENT MINUTES Nantucket Land Bank Commission Regular Meeting of June 11, 2019 Land Bank Conference Room, 22 Broad Street Nantucket, Massachusetts CALL TO ORDER: 4:00 p.m. PRESENT: Kristina Jelleme, Neil Paterson, Allen Reinhard, John Stackpole. ABSENT: Richard Glidden. STAFF PRESENT: Eric Savetsky, Executive Director; Susan Campese, Administrator/Finance Manager; Leedara Zola, Project Manager. Brown, Lindquist, Fenuccio and Raber Architects, Kurt Raber and Susan Hamilton; Miacomet Golf Course("MGC') Design Consultant, Elizabeth Winship; Inquirer and Mirror Reporter, Brian Bushard were also present at call to order. I. CONVENE IN OPEN SESSION: A. CITIZEN BUSINESS/ANNOUNCEMENTS: None. B. GOLF BUSINESS: 1. Miacomet Golf Course Clubhouse Replacement — Interior Design Presentation: Ms. Hamilton presented the interior design finishes, furnishings and fabrics for the clubhouse and explained why each was chosen. Further, she recommended ordering additional chairs and tables for outdoor dining to provide tables in the sun. She said her rough estimate for the furnishings and fixtures was $300,000 with an additional $5,000 for artwork, however she expected to receive additional discounts which should bring those numbers down. Mr. Savetsky said the original budget for furniture, fixtures and equipment was around $200,000 which was always considered low. The consensus of the Commission was favorable for both the design elements and the revised budget. Marian Wilson, Assistant Administrator and William Cassidy entered the meeting at 4:13 p. m. Ms. Hamilton and Ms. Winship departed the meeting at 4:32 p.m. 2. Miacomet Golf Clubhouse Replacement — Project Update: Mr. Savetsky presented an update on the progress from the Owners Project Manager. The interior framing was nearly complete, and work was underway to complete the exterior. The overall project had fallen behind two weeks. Mr. Raber said now that work was mostly inside, weather would not be a factor and there were opportunities to make up some of the time. Mr. Raber departed the meeting at 4:3 7 p. m. 3. Warrant Authorization — Clubhouse Requisition: Upon a motion made by Commissioner Reinhard and duly seconded by Commissioner Jelleme, it was unanimously VOTED Land Bank Commission June 11, 2019 Page 2 to execute the June 11, 2019, warrant document in the amount of $811,941.76 to be provided to the county treasurer. Mr. Savetsky asked for a vote to authorize a change order to add the ProCraft furniture and equipment for the pro shop onto the Dellbrook/JKS contract for $80,616.72. Upon a motion made by Commissioner Reinhard and duly seconded by Commissioner Jelleme, it was unanimously VOTED to authorize the change order. C. PROPERTY MANAGEMENT: 1. Easy Street Bulkhead Replacement — Recommendation and Decision: Mr. Savetsky presented four options with estimated costs for repairing or replacing the bulkheads at 27 and 21 Easy Street: (a) repair the steel bulkhead at 21 Easy Street which included removing and replacing the corroded top, sandblasting and coating the whole bulkhead for $243,000; (b) painting the fiberglass bulkhead at 27 Easy street for $23,600; (c) installation a wooden fagade on both bulkhead for $180,000; (d) install a new cantilevered bulkhead in front of both bulkheads for $1,109,000. Chairman Paterson emphasized that expediency was important as the park was being built with grant funds. Commissioner Jelleme asked Mr. Savetsky to find out what kind of timeline the first three options entailed and if adding the facade would delay the project. Upon a motion made by Commissioner Reinhard and duly seconded by Commissioner Stackpole, it was unanimously VOTED to move ahead with repairing the steel bulkhead and bringing more information regarding options b and c. Chairman Paterson recused himself from the following agenda item and departed the meeting at 4:49 p. m. 2. 101 Hummock Pond Road/Larrabee Property — Farming Proposal: Mr. Cassidy proposed the property could become an educational destination if the Land Bank bought it and leased it back to the Larrabee family to farm. He proposed a farm stand and learning center, open views with the proposed house and secondary dwelling for employees hidden in the back of the property, rehabilitation of the old cranberry bog and demonstrations of animal husbandry. Commissioner Jelleme asked that the building envelope be defined on the plan. The Commission thanked Mr. Cassidy for his time. Mr. Cassidy departed the meeting at 5:14 p.m. Chairman Paterson and Jesse Bell, Assistant Director entered the meeting at 5.-15 p.m. 3. Land Bank Properties Naming — Discussion: Commissioner Reinhard presented a list of names for various Land Bank properties. D. APPROVAL OF MINUTES: Upon a motion by made by Commissioner Stackpole and duly seconded by Commissioner Jelleme, it was unanimously VOTED to accept, approve and release the regular session minutes of May 28, 2019 as written. E. TRANSFER BUSINESS: 1. May 2019 Transfers — Record Nos. 40649 through 40735: The Commission reviewed transfers for the period of May 1, 2019 through May 31, 2019. a. Current "M" Exemptions and Liens: The Commission authorized the placing of liens against the following properties as a result of the purchasers claiming the "M" exemption as first- time buyers of real property: No. 40675 Sarah E. Chotkowski No. 40680 Holly Estrow No. 40686 Kelsea B. Gray and Jordan D. Gray b. Current "O" Exemption and Lien: The Commission authorized the placing of a lien against the following property as a result of the purchasers claiming the "O" exemption as part of a deed -restricted affordable housing program: No. 40670 Meredith H. Lepore and Matthew R. Peel F. FINANCIAL BUSINESS: 1. Monthly Transfer Statistics: Monthly transfer statistics reports comparing fiscal years 2018 and 2019 through May 2019 were presented. 2. Warrant Authorization — Cash Disbursements: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Jelleme, it was unanimously VOTED to execute the June 11, 2019 warrant document in the amount of $449,565.75 to be provided to the county treasurer. 3. Warrant Authorization — 2009 Series A Bond Semi -Annual Payment: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was VOTED to approve payment and authorize staff to wire the 2009 Series A semi-annual bond payment of interest and principal in the total amount of $1,298,187.50 from the Land Bank's Collection Account to the Bond Trustee at U.S. Bank. Mr. Bushard departed the meeting at 5:44 p. m. Land Bank Commission June 11, 2019 Page 5 II. EXECUTIVE SESSION: Upon a motion made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was unanimously VOTED to go into executive session in order to discuss the purchase, exchange, lease or value of real property. A roll call vote was taken: Reinhard - Aye, Paterson -Aye, Stackpole-Aye, Jelleme-Aye. The Chairman under Purpose 6 [G.L. c. 30A, 21(a)(6)] declared that discussion of these matters in open session may be detrimental to the Land Bank's negotiating position and that the �Wfimission would not reconvene in regular session following executive session. ADJOURNMENT: Upon a mot on made by Commissioner Stackpole and duly seconded by Commissioner Reinhard, it was OTED to adjourn to executive session at 5:45 p.m. Attested to: Richard J.
