Meeting called to order at 6:25 p.m. following an Open Session meeting.
The following is a summary of topics and actions; it is not intended to be a transcript.
Egan: Amend draft minutes of Oct 17 to state that she does not feel enough time has been
given to negotiation with the Manager, and Oct 25 to include that Drake and England also
spoke with the Manager.
Egan: Motion to approve draft minutes of executive session meetings for 9/27, 10/3,
10/17, 10/25, with her suggested additions.
Gray: Seconds Motion

Dolan: Has received revised settlement agreement from Counsel Batt including a limited
release of claims for Peterson. Dolan has concerns with the language, so he drafted a
hybrid agreement including a "softer" release for exempting claims currently known to
the Town.
Egan: Motion to approve hybrid agreement with limited release.
Motion fails for lack of a second.
Gray: Motion: That the Commission not agree to the limited release and that the
Commission's last offer is its best and final offer.

Drake: Motion: That the period provided by law for the Manager to sign the settlement
agreement and release be extended until Noon, Dec 2 °d

Drake: Motion: To Approve payment of $879 to AMEX for payment of Peterson's
charge for travel for a trip to attend a conference, though there is no proof of approval of
the Chairman. Counsel advises that the Commission settle this account.

Devine Litigation Matter:
Drake: There is a pending mediation meeting for Dec 6 th
Egan: Motion: Authorize the Chairman to go up to $300k, excluding interest, for the
settlement agreement as a result of the mediation.
