Executive Session took place at Nantucket Memorial Airport's SRE Building, 13 New South Road,
Nantucket, at 2:05 p.m.
All commissioners were present and entered executive session after a roll call vote to further
discuss the Peterson contract.
After discussion it was agreed that the contract presented at the meeting was suitable for
signing and the commissioners voted unanimously to execute the agreement and present it to
Mr. Peterson for his approval and signature.

Executive Session was called to order at 6:03 p.m. by Chairman E. Foley Vaughan with the following
Commissioners present: Vice Chair Sheila O'Brien Egan, Dual A. Macintyre, Jr., Robert Atlee and Carl D.
England, Jr.
Sheila O'Brien Egan presented an analysis of the salaries of various Nantucket department heads for
discussion.
Dual Macintyre noted that 14% of fire department employees earned more than $100,000 a year; 32% of
police department employees earned in excess of $100,000 and 13% of airport employees were in that
category.
It was pointed out that Mr. Peterson has brought to the airport during his 6 plus year tenure probably in
excess of $30,000,000 in grant money and it was thought that it would be appropriate to award a bonus
based on this achievement. Accordingly, Ms. Egan was asked to determine the exact amount of grant
money Mr. Peterson had brought in, particularly in light of the fact that the Chamber of Commerce is
working on a similar formula for their new director.
A merit bonus based on the successful terminal project brought in on time and on budget was also
discussed.

December 14, 2010 =
Location: Nantucket Memorial Airport's SRE Building, 13 New South Road, Nantucket
Executive Session was called to order at 6:05 p.m. by Chairman_ E. Foley Vaughan with the following
Commissioners present: Vice Chair Sheila O'Brien Egan, Dual A. Macintyre, Jr., Robert Atlee and Car_J D.
England, Jr.
Also present: Airfield Supervisor Jeff Marks, Finance Director Tina Smith, and Administrative Assistant to
the Airport Manager Janine Torres.
It was noted that a budget shortfall of some $160,000 for fiscal 2012 needed to be closed and staffing at the
airport had to be looked at. Several options were discussed:
1. Law enforcement officer category is to be looked at first;
2. Retirement;
3. Voluntary layoffs with or without incentives, essentially turning full time positions into part time
positions;
4. Involuntary layoffs.
The Commission supported categories 1, 2 and 3.
One incentive discussed was an upfront severance payment equivalent to the cost of 6 months health
insurance [COBRA]. The problem here is that such a payment might disqualify the recipient for
unemployment insurance. It also might be too costly and, therefore, counter - productive. This will be
looked at.
Jeff Marks, Tina Smith and Janine Torres were excused from the meeting at 6:25 p.m.
The Commission then turned to the Peterson contract. Given the major projects still pending, completion
of the new ARFF building, a new Air Traffic Control Tower, a new FBO building, Runway 33 extension
and Mr. Peterson's deep involvement in and guidance of these projects, it was agreed that a requested three
year contract was important to the Commission and the community as a way to assure Mr. Peterson's
continued interest and participation in the manager's position. Mr. Peterson has also requested a
performance bonus. Based on his performance over the past several years in bringing in the new terminal
on time and on budget coupled with the more than 16 million dollars in additional grant money he has
secured for the airport, the Commission concluded that a contract signing bonus of $20,000 would be
appropriate. Mr. Peterson has also requested, among other things, a provision in his contract whereby
future bonuses would be tied in his ability to secure additional airport funding over and above the normal
AIP funds the airport receives. The Commission agreed to consider such a provision.

All Commissioners were present and entered executive session after a roll call vote to discuss contracf
negotiations with manager Peterson. Mr. Peterson was also present.
The executive session began at 6:10 pm.
Mr. Peterson told the commissioners that he had taken a copy of the contract of the airport manager whom
he succeeded and sent it to his attorney who revised it to meet present conditions. Mr. Peterson gave a
copy of the proposed contract to each of the commissioners for review and conunent.
Meeting adjourned, 6:15 p.m.

Executive Session took place at Nantucket Memorial Airport's SIZE Building, 13 New South
Road, Nantucket, at 6:00 p.m.
All commissioners were present and entered executive session after a roll call vote to discuss
contract negotiations with non union personnel - manager Peterson. Mr. Peterson was also present.
Mr. Peterson asked whether the connnissioners had a chance to review the proposed contract. The
commissioners were not ready to discuss it but agreed that they should meet in further executive session for
the sole purpose of reviewing and discussing same. Accordingly, a special executive session was set for
11 noon on March 1, 2011 for that purpose
The session then ended at about 6:15 pm.

Executive Session took place at Nantucket Memorial Airport's SRE Building, 13 New South
Road, Nantucket, at 12:00 noon.
All commissioners were present and entered executive session after a roll call vote to discuss
contract negotiations with manager Peterson. Mr. Peterson was not present.
The commissioners reviewed the draft contract of the airport manager and the impact of step,
COLA and longevity. Step and COLA were set aside but later revived. Deferred compensation was
discussed and set aside but later brought back into the mix.
The Pellicone sick leave rights were discussed and the buyback of Peterson tentatively
limited to 45 days; personal days to be 3.
Noted that Peterson has had no raise in 6 years and the commissioners agreed to meet
again next week after determining what union raises had been granted in the intervening 6 years and
perhaps applying those to the Peterson contract.
The commnissioners agreed to meet at noon, Monday the 7th of March in further executive
session.
The present session then ended at about 2:05 pin.

Executive Session took place at Nantucket Memorial Airport's SRE Building, 13 New South
Road, Nantucket, at 12:00 noon.
All commissioners were present and entered executive session after a roll call vote to discuss
contract negotiations concerning manager Peterson. Mr. Peterson was not present.
The commnissioners discussed union raises over the years 2004 -2007, 2007 -2010 and the current
contract. Raises for 04 -07 were 4 %; 07 -10 were 3 ' /z %; fiscal 2010 -0 -; fiscal 20112.75% and 2.75% for
3012.
No consensus was reached on what raise, if any, would be appropriate in Mr. Peterson's case.
The discussion then turned to deferred compensation and it was agreed that Carl England would
investigate how this is handled with town employees and report back at a further executive session to be
held at noon on March 22, 2011.
The present session then ended at about 1:15 pm.

Executive Session Minutes =
March 22, 2011
Executive Session took place at Nantucket Memorial Airport's SRE Building, 13 New South
Road, Nantucket, at 12:00 noon.
All commissioners were present and entered executive session after a roll call vote to discuss the
purchase of the McGrath hanger and contract negotiations concerning manager Peterson. Mr. Peterson was
present for the hanger discussion and not present for the contract discussion.
The 2008 article authorizing the purchase for up to $500,000 of an airport hanger was reported by
Mr. Peterson to still be viable. The commission then discussed income and expense relating to the hanger.
An analysis prepared by Mr. Peterson, copy attached, aided in the discussion.
Following discussion a motion was made to offer $425,000 to purchase the hanger with authority
to go up to a maximum of $450,000. The motion passed unanimously.
The discussion then turned to deferred compensation which was reported on by Mr. England. The
commission decided it should review the police chief's and school superintendent's contracts and Mr.
England was charged with obtaining copies. A further executive session was scheduled for the 20`" of April
2011 following the monthly meeting of the commission.
The present session then ended at about 1:25 pm.

June 14, 2011
Executive Session took place at the Nantucket Memorial Airport's SRE building, 13 New Sou
Road, Nantucket, at 6:35 P.M.
All Commissioners were present and entered Executive Session after a roll call vote to discuss the
potential exchange of property between the Town, Airport and
and, to conduct contract negotiations concerning manager Peterson. Also present
were Al Peterson, Airport Manager, Tuna Smith, Financial Director, Jeff Marks, Airfield
Supervisor, Janine Torres, Administrative Assistant to the Airport Manager and Yolanda Taylor,
Administrative Coordinator.
Real Estate
Mr. Peterson stated there are approximately 216 property owners who share improvement costs
equally on Monohansett Road.
After brief discussion Chainnan Vaughan appointed Commissioner England, a sub - committee of
one, to look further into this matter and report back to the Commission.
At 6:51 PM, Mr. Peterson, Janine Torres, Tina Smith, Jeff Marks and Yolanda Taylor were
excused.
Contract Negotiations
After discussion the Commission voted to approve an employment contract for Mr. Peterson and
agreed that it should be presented to Mr. Peterson for his review and comment.
