Topham AIRPORT COMMISSION MEETING May 8, 2018 The meeting was called to order at 5:00 pm by Acting Chairman Arthur Gasbarro with the following Commissioners present: Andrea Planzer, Anthony Bouscaren and Jeanette Topham. Daniel Drake participated remotely by phone as his physical attendance was unreasonably difficult. The meeting took place in the 1 sc floor Community room at the Public Safety Facility, 4 Fairgrounds Rd. Nantucket MA. Airport employees present were: Thomas Rafter, Airport Manager, Noah Karberg, Assistant Airport Manager, Janine Torres, Office Manager, and Katy Perales, Administrative Assistant. Mr. Gasbarro announced the meeting was being audio and video recorded. Mr. Gasbarro asked for comments on the Agenda, hearing none, the Agenda was adopted. Mr. Gasbarro asked for comments on the 4/10/18 draft minutes, hearing none, the minutes were adopted. Ms. Topham made a Motion to release Executive Session Minutes dated 2/25/14, 4/14/15, 5/12/15, 1/10/17,6/13/17,7/11/17,8/8/17,9/12/17, 10/10/17, 11/14/17, 12/12/17, 1/9/18, and 2/13/18. Second by Mr. Bouscaren and Passed unanimously by the following roll -call vote: Ms. Topham — Aye Mr. Bouscaren — Aye Mr. Gasbarro — Aye Ms. Planer — Aye Mr. Drake — Aye Mr. Bouscaren made a Motion to ratify the 4/18/2018 and 5/2/2018 Warrants. Second by Ms. Topham and Passed unanimously by the following roll -call vote: Ms. Topham — Aye Mr. Bouscaren — Aye Mr. Gasbarro — Aye Ms. Planzer — Aye Mr. Drake — Aye Public Comment None Pending Leases/Contracts — Mr. Rafter presented for approval the following leases, beach license, and contracts: • American Airlines- Lease for terminal office space for $6,960 plus Annual Business Fee of $1,500. Flight operation provided by Republic Airways. • Republic Airways/ dba American Eagle- Lease for seasonal airline agreement for $12,000 plus landing fees and Annual Business Fee of $1,500. • Rectrix Aviation, Inc- Annual airline lease for $32,280 plus Annual Business Fee of $1,500. In addition landing and freight fees apply. • Jet Blue- Lease for seasonal airline agreement for $18,000 plus landing fees and Annual Business Fee of $1,500. • Bamber Trucking Inc- Bunker lease award for $45,755, plus the Annual Business Fee of $1,500. Fifteen year lease with three 5 year renewal options. • Nantucket Septic Inc- Bunker lease award for $45,738, plus the Annual Business Fee of $1,500. Five year lease with five, 5 year renewal options. • ACKlete Fitness- Beach license for exercise classes at Nobadeer Beach for an Annual Business Fee of $1,500. Classes are held 6/19/18-8/18/18 with no classes between the hours of 11:00am-5:30pm. • Jet East Corporate Aviation, LLC- License agreement for aircraft maintenance for an Annual Business Fee of $1,500. • Harris Corporation (fka Exelis Inc) - Contract for symphony public view license flight tracking software for $49,500. This is a three year contract and is an Operating expense. • McFarland Johnson Inc- Contract for On Call Task Order #6- Engineering services associated with the removal and replacement of airfield pavement markings for $23,500. This is a Capital expense. • McFarland Johnson Inc- Contract for On Call Task Order #7- Consulting Services Associated with the Rates and Charges Study for $100,000. This falls under a MassDOT ASMP Grant that covers 80% of the contract. • Kobo Utility Construction Corp- Low bid award for AIP project "Install Emergency Back-up Generator" for $376,700. This is a Capital expense with the expectation that FAA and MassDOT grants will cover 95% of costs. • Nantucket Party People- Contract for seasonal hold room 20x40 tent for $17,000. Includes the furnishing, installation, and disassembly in the fall. This is a Capital expense. • Jacobs Engineering Group- Contract for professional services associated with the installation of the emergency back-up generator for $46,200. AIP grant eligible (FAA 90%, MassDOT 5%). Ms. Topham made a Motion to approve leases, beach license, and contracts as presented. Second by Mr. Bouscaren and Passed unanimously by the following roll call vote: Ms. Topham — Aye Mr. Bouscaren — Aye Mr. Gasbarro — Aye Ms. Planzer — Aye Mr. Drake — Aye 5/8/18 Airport Commission Meeting Page 2 of 6 Pending Matters — Mr. Rafter reported on: + 011315-2 General Fund Repayment Proposal and Discussion of In -Kind Service - Town Finance Director is collaborating with Town Counsel on drafting an appeal letter to the Compliance Division of the FAA. Airport Administration has not been updated on the status of the letter. + 061317-2 Brookfield Asset Bridgetown LLC Sub -Lease to FedEx Corp -Sub -lease was submitted to Airport Administration. Airport Counsel is currently reviewing to ensure - conformity of term dates to master lease. + 050916-1 Crew Quarters Development- Airport administration will begin the process of a financial analysis of the potential project. It is expected that at the August commission meeting the analysis will be completed and financial discussion can begin. 091217-2 T -Hangar Discussion- Mr. Rafter made a recommendation that the Airport take over the operation and maintenance of the T -hangar at the end of the current lease in November 2018. The next steps would be to determine the rates and policies of use. A draft term sheet will be created and shared with the Commission and Airport Counsel. Mr. Drake made a statement in support of the recommendation. Ms. Planzer disclosed that she will be abstaining from future votes on this matter as it is a conflict of interest. Mr. Stephen Cheney, a member of the North Ramp T -Hangar Association, questioned how rates will be set for tenants as they relate to FAA policy. Mr. Rafter noted that even though the Airport's main goal is remain sustainable, increasing and maintaining general aviation is a priority and the rates proposed for rent and maintenance of the hangars will reflect that. 050818-1 Air Service Incentive Program Discussion- Mr. Rafter reviewed the current Air Service Incentive Program that will expire on May 31, 2018. His recommendation is that the Airport continue with the existing air service plan. Mr. Bouscaren made a Motion to adopt the drafted Air Service Incentive Program for two more years, expiring on May 31, 2020. Second by Ms. Planzer and Passed unanimously by the following roll call vote: Ms. Topham — Aye Mr. Bouscaren — Aye Mr. Gasbarro — Aye Ms. Planzer — Aye Mr. Drake — Aye 050818-2 Noise Presentation- Mr. Karberg reviewed the landing fee incentive program compiled data for FY2015-FY2018, noise complaint compiled data for FY2013-FY2018, and efforts by the Airport to support the noise abatement program. Mr. Gasbarro commended the Airport staff on their efforts in this matter and sees the next target for improvement as the north and south ramp and requested that the Airport ensure information is shared with these pilots and carriers regarding this program at the start of the season. 050818-3 FAA Grant Acceptance AIP 68 "Install Emergency Back-up Generator"- The grant award was not yet received as of the meeting date; and therefore, was not discussed. 032613-2 Rental of Space for Special Events- Mr. Rafter informed the Commission that Airport administration will be limiting special events on Airport property to Airport tenant events only. Airport administration has found that the application process for non -tenant special events is time consuming and not always cost effective. The current application in process for a special event in the fall will continue as planned and the change will take effect moving forward. 5/8/18 Airport Commission Meeting Page 3 of 6 Manager's Report — Mr. Rafter reported: Project Updates • Vault Room — Vault replacement work has restarted and is expected to be complete in two to three weeks. • Public Address/Flight Information Display System projects (PA/FH)S) — Contractor has resumed work and the public address system equipment is on site. The project is anticipated to be complete by June. • Ramp Area 3- Contractor will return the week of May 14, 2018 to add the seal coat to complete the project. • ALP Update (Geometry Analysis) —Airport Administration will meet with the FAA and subject matter experts on June 8, 2018 to review alternatives created by McFarland Johnson. • Restaurant Enclosure — Project has been completed and is scheduled to be inspected by the Building Department. • Restaurant - Crosswinds is in the process of completing set-up and plans to be operational by the middle of May. • Additional Capacity o Expanded Hold Room- With the procurement process not providing any acceptable proposals the project was modified to the installation of a temporary tent structure with fencing and data/electrical connections. Structure will be operational by June 14, 2018. 0 5' Positon for Commercial Aircraft Parking on the Apron- Airport administration is obtaining FAA approval. Markings will be competed at the same time as Ramp Area 3. o Additional/Relocation of airline Podiums- - Airport Maintenance crew built an additional gate podium and added lighting for the JetBlue counter in the hold room. Airport Administration worked with IT consultant to realign all the data cables. Back wall signs have been hung. Project is complete. o Ticket Counter Reallocation Some ticket counters were reassigned based on the airlines' market share. Airport Administration and the Maintenance Department collaborated with the airlines to complete the project. RFP/IFB Bid Status — Mr. Rafter reported the RFPs and REI being worked on include: • Hangar 5 RFP- Received one proposal for the lease of Hangar 5. Proposal will be reviewed. • Flat Roof Building- Received one Expression of Interest from Fly Blade. A lease term sheet was created and shared with Blade. • Gas Station RFP- Lease negotiations continue with the Airport Gas. • Sun Island RFP will be reissued in the near future. Operations — Mr. Rafter reported: • FAA Airport Certification Inspection started May 7 and is concluding May 9, 2018. • The top two candidates for the Security Terminal Manager did not accept the position. For the upcoming season responsibilities will be divided among current staff and Airport Administration will re-evaluate the position before re -advertising. • Through the use of an advertising consultant working closely with Ms. Perales, new advertising revenue this spring has increased by $59,890. • Daffodil Weekend revenues are up 57% from last year. • Nantucket Flying Association's Aviation Camp has requested the Airport's support with static aircraft displays during the week of June 25-29, 2018. Airport staff will work to 5/8/18 Airport Commission Meeting Page 4 of 6 accommodate their needs keeping in mind that this week leads up to the July 0 holiday week. Statistics — Mr. Rafter reviewed the March 2018 statistics: • Operations are down 50.7% from March 2017; and down 15.9% from last FYTD. • Enplanements are down 18.3% from March 2017; and down 3.4% from last FYTD. • Jet A Gallons are up 38.5% from March 2017; and up 6.5% from last FYTD. • Jet A Gallons are up 27.3% from April 2017. • AvGas Gallons are up 28.5% from March 2017; and down 15.7% from last FYTD • AvGas Gallons are up 28.7% from April 2017. • Freight is down 18.4 % from March 2017; and up 3.7% from last FYTD. • 0 Noise Complaints were filed for March 2018 compared to 0 in March 2017. Personnel Report — Mr. Rafter reported: • Seasonal positions that are open and being advertising include a gate guard, custodian, and maintenance worker. • Maintenance staff has been short-staffed this month due to an open position and illness. They continue to perform efficiently. Interviews are taking place for the open Maintenance position. Request for Travel- Mr. Rafter requests travel to the following upcoming conferences: • AAAE Northeast Chapter 8/12-14/18 in Jersey City, New Jersey • National Airports Conference 9/16-18/18 in Anchorage, Alaska Mr. Drake made a Motion to approve both travel requests as presented. Second by Ms. Planzer and Passed unanimously by the following roll call vote: Ms. Topham — Aye Mr. Bouscaren — Aye Mr. Gasbarro — Aye Ms. Planzer — Aye Mr. Drake — Aye Commissioners Comments Mr. Gasbarro shared with the Commission that he would be in support of a small scale airport day in conjunction with the restaurant re -opening. June 9, 2018 or June 16, 2018 could be viable options before the airport gets too congested. Public Comment None Having no further business for Open Session, Mrs. Topham made a Motion to go into Executive Session, under G.L. Chapter 30A, Section 21A, not to return to Open Session, to review Executive Session Minutes as enumerated on the Agenda; Clause 3: To discuss strategy with respect to pending litigation in respect to Airport Improvement Plan (AIP) projects. The Chair has determined that an open session may have a detrimental effect on the litigation position of the Airport Commission; and under Clause 3 to discuss strategy with respect to collective bargaining.
